3. Device Lease and Ownership Restrictions

All hardware devices provided by Intelligible Holdings, LLC are leased on a strict contractual basis. No sale or transfer of ownership rights in any device is granted or implied.
• Ownership: The devices remain the exclusive property of Intelligible Holdings, LLC at all times.
• Use: Device use is strictly governed by the terms of the lease or service agreement.
• Transfer or Assignment: Any attempt to assign, sublease, sell, pledge, or otherwise transfer devices or device rights without express, written consent signed by two (2) Board Members is void and unenforceable.
• Return: Devices must be returned promptly at lease expiration or upon Company request. Failure to comply may result in legal action including recovery costs.

4. Contract Validity and Board Approval

No binding contract, agreement, or business arrangement shall be valid or enforceable against Intelligible Holdings, LLC unless:
• It is documented in writing;
• It includes a fully executed Non-Disclosure Agreement (NDA) where applicable;
• It has been approved and signed by at least two (2) authorized members of the Company’s Board of Managers.
Any oral agreements, informal communications, or electronic correspondence shall not constitute a binding contract.

5. Confidentiality and Trade Secrets

All non-public information disclosed in connection with the Company’s operations, technologies, devices, and business plans is confidential and constitutes valuable trade secrets. All recipients of such information are legally bound to maintain strict confidentiality in accordance with executed NDAs and applicable laws.
Unauthorized disclosure or misuse of confidential information may cause irreparable harm to the Company and will result in prompt injunctive relief, damages, and other legal remedies.

6. User Obligations and Compliance

By accessing or using the Site or leased devices, you agree to:
• Comply with all applicable laws, regulations, and Company policies;
• Refrain from any actions that could damage, disable, overburden, or impair the Site or devices;

You agree to indemnify and hold harmless the Company and its affiliates from any claims or damages arising from your breach of these terms or misuse of IP or devices.

10. Governing Law and Jurisdiction

This Legal Notice and any disputes arising hereunder are governed by the laws of the State of Oregon without regard to conflict of laws principles.
Exclusive venue and jurisdiction for all claims or disputes shall lie in the courts located in Yamhill County, Oregon.
