1. Introduction
This Acceptable Use Policy (“Policy”) constitutes a legally binding agreement between you (“User,” “you,” or “your”) and Intelligible Holdings, LLC (“Company,” “we,” “us,” or “our”). By accessing or using any of the Company’s websites, Web applications (“WebApp”), cloud-hosted services (including but not limited to platforms such as Google Firebase), leased hardware devices, or any related products or services (collectively, the “Services”), you agree to comply fully with this Policy and all applicable laws and regulations.
The Services encompass proprietary hardware devices and software solutions for passive harmonic isolation and other advanced technologies, with IP strictly controlled and licensed exclusively on a lease or contractual basis. This Policy is intended to protect the Company’s intellectual property rights, safeguard the integrity and security of our systems, and ensure the lawful and ethical use of all Services by authorized Users only.
2. Permitted and Prohibited Uses
2.1 Intellectual Property and Confidentiality
• You acknowledge and agree that all rights, title, and interest in and to the Company’s Intellectual Property—including, without limitation, patents (pending or issued), copyrights, trade secrets, trademarks, designs, hardware schematics, software source code, firmware, data models, and documentation—are and shall remain the sole and exclusive property of Intelligible Holdings, LLC.
• You shall not, under any circumstances, reproduce, duplicate, copy, reverse engineer, decompile, disassemble, translate, modify, adapt, distribute, publish, sublicense, sell, lease, rent, lend, or create derivative works from any portion of the Services or the Company’s IP, whether in whole or in part, unless expressly authorized in a written, board-approved contract executed by at least two (2) members of the Company’s Board of Directors.
• All confidential information, whether marked as confidential or reasonably understood to be confidential, obtained through your use of the Services or during any contractual relationship shall be kept strictly confidential and shall not be disclosed to any third party without prior written consent.
2.2 System Security and Integrity
• You shall not attempt, nor assist others, to gain unauthorized access to the Services, networks, servers, databases, or other computer systems operated by or on behalf of the Company.
• Any attempt to disrupt, degrade, or interfere with the availability, functionality, or security of the Services—including, without limitation, distributed denial-of-service (DDoS) attacks, insertion of malicious code such as viruses or malware, or exploitation of vulnerabilities—is strictly prohibited.
• You shall not use the Services to transmit any material that contains viruses, worms, trojans, ransomware, spyware, or any other malicious code intended to disrupt or harm any system or data.
2.3 Data Protection and Privacy
• You shall not collect, harvest, or scrape any data or information from the Services or other Users without explicit, prior authorization governed by a valid contract and executed NDAs.
• You agree to comply with all applicable data protection laws, including but not limited to the U.S. Federal laws, Oregon State statutes, the General Data Protection Regulation (GDPR) where applicable, and any other relevant international data privacy regulations.
2.4 Prohibited Conduct
• You shall not use the Services for any unlawful, fraudulent, malicious, or harmful purposes, or to engage in any activity that violates any applicable laws, regulations, or third-party rights.
• You shall not use the Services to distribute unsolicited commercial communications (“spam”), phishing attempts, or any deceptive or misleading content.
• You shall not engage in any conduct that could reasonably be expected to cause harm to the Company’s reputation, goodwill, or business operations.
3. User Obligations and Representations
• You warrant that you are legally authorized to enter into this Policy and any related agreements and that your use of the Services complies with all applicable laws and regulations.
• You agree to protect and maintain the confidentiality of your account credentials and are fully responsible for all activities occurring under your account.
• You shall immediately notify the Company upon any unauthorized use or suspected breach of your account or the Services.
• You agree to cooperate fully with the Company in any investigation relating to potential violations of this Policy or security incidents, including providing all relevant information and access.
4. Enforcement, Remedies, and Liability
4.1 Suspension and Termination
• The Company reserves the unilateral right to suspend, restrict, or terminate your access to the Services immediately and without prior notice upon any actual or suspected breach of this Policy or other agreements. • Suspension or termination of access shall not limit or waive any other remedies available to the Company under law or equity.
4.2 Legal Action
• The Company expressly reserves the right to pursue all available civil, criminal, and equitable remedies for violations of this Policy, including but not limited to seeking injunctive relief, monetary damages, and the recovery of attorney fees and costs.
4.3 Indemnification
• You agree to indemnify, defend, and hold harmless Intelligible Holdings, LLC, its officers, directors, employees, agents, affiliates, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of this Policy or misuse of the Services.
5. Intellectual Property Ownership and License
• All intellectual property rights associated with the Services and the Company’s business operations are and shall remain the sole and exclusive property of Intelligible Holdings, LLC.
• The Company grants no ownership or title to any User or third party in any of its IP except pursuant to explicit, written agreements approved and signed by two (2) members of the Board of Directors.
• The Services and hardware devices are licensed only on a lease or contractual basis. Purchase or ownership of the devices is not permitted. Any use or possession outside the terms of a valid lease or contract is a violation of this Policy and subject to legal action.
6. Amendments and Governing Law
• The Company reserves the right to amend or update this Policy at any time. Revised versions will be posted on the Company website with an updated effective date. Continued use of the Services after such changes constitutes your acceptance of the revised terms.
• This Policy shall be governed by and construed in accordance with the laws of the State of Oregon without regard to its conflict of law principles.
• Any dispute arising out of or relating to this Policy shall be resolved exclusively in the state or federal courts located in Yamhill County, Oregon, and you consent to the jurisdiction and venue of such courts.
